FLYHT Announces Approved Extension of Debenture Expiry Date and Amendment of Conversion Price

CALGARY, ALBERTA–(Jan. 21, 2016) – FLYHT Aerospace Solutions Ltd. (TSX VENTURE:FLY)(OTCQX:FLYLF) (the “Company” or “FLYHT”) announced that its extended expiry date on the Debenture conversion feature and amendment of the conversion price to $0.25 per, previously announced in a press release dated December 8, 2015 has been approved by the necessary majority of the Debentureholders in accordance with the trust indenture; and that final approval has been received from the TSX Venture Exchange (“the Exchange”).

The approvals have extended the expiry date on the conversion feature of the Company’s Debentures (the “Debentures”) that were originally issued on December 23, 2010 by one year (consistent with the maturity date of such Debentures) and amended the conversion price on the Debentures to $0.25 per. The outstanding Debentures that are the subject of the extension consist of an aggregate of 3,094,000 Debentures. The Debentures are set to mature on December 23, 2016 and the Exchange and Debentureholders approved the option to: (i) extend the ability to convert the Debentures into common shares of the Corporation (“Common Shares”) until December 23, 2016 (previously such conversion feature was set to expire on December 23, 2015); and (ii) amend the conversion price at which such Debentures are convertible into Common Shares to $0.25 per Common Share (from the original conversion price of $0.40 per Common Share). The Debentures continue to bear interest at a rate of 8% per annum.

AFIRS Reaches Two Million Flight Hours

Calgary, Alberta – January 19, 2016 – FLYHT Aerospace Solutions Ltd. (TSX-V: FLY) (OTCQX: FLYLF) (the “Company” or “FLYHT”) is pleased to announce that during the fourth quarter of 2015 the Automated Flight Information Reporting System (“AFIRSTM”) achieved a record milestone of two million flight hours. The flight hours measurement represents the number of hours AFIRS has flown on FLYHT customers’ aircraft.

The calculation of hours started with AFIRS’ commercial launch in 2005 and includes all models of the technology including the original AFIRS 220, and the AFIRS 228. FLYHT reached the first million flight hours in March 2012. That first million hours accumulated over seven years, the second million has been achieved in only half the time, three and a half years.

FLY_160119a“We celebrate this milestone with our customers because it demonstrates the value that AFIRS and UpTime provides to their operations,” remarked FLYHT’s Director, Operations and Customer Fulfillment Matieu Plamondon. “December was a record month for both flight hours and number of flights and we expect to see the continued growth in these areas as we add new customers and expand within our present customer base.”

Since the Company’s inception in 1998, FLYHT has grown to serve airlines, leasing companies, and original equipment manufacturers on every continent. Partnerships with internationally-respected aviation organizations are furthering the reputation of FLYHT. The Company is poised for growth with the recent addition of well-respected industry individuals on the board of directors and in key management positions. In the Fall of 2015, FLYHT signed its largest customer to-date, a leasing company with 146 aircraft.

Customers have benefited from the real-time data provided by the AFIRS technology to help streamline their operations and improve their safety while saving them money. In one case, an AFIRS notification of high engine vibrations prompted the customer to take the aircraft out of service to examine the engine. Upon inspection, a serious mechanical flaw was found in the turbine that would have resulted in engine failure if it had continued to operate. AFIRS provided monetary and safety benefits to the customer, directly avoiding outlay of $5.2 million for a replacement engine and instead affording the customer the option to expend $780,000 on a timely engine repair.

FLYHT celebrated AFIRS’ one millionth flight in April 2014 (now close to 1.4 million flights) and displays all flight and flight hour statistics monthly on the website homepage, www.flyht.com.

CEMATRIX – $15 Million in 2015 – What’s Next?

CEMATRIX management today offered some guidance on their record 2015, and it was announced that the company both exceeded its goal of $15 million in sales and forecasted EBITDA of $2.5 million.

Audited financials and full details of the record year won’t be available until March when the company files its year end, but shareholders can now bask in management’s performance as we look ahead to another record year.

2016 is off to a stellar start and CEMATRIX also announced today that it has secured another $1.3 million in contracts for this year, where total contracted work now sits at $4.2 million.

CEMATRIX Corporation Exceeds $15 Million in Sales for 2015

Calgary, Alberta – January 14, 2016: CEMATRIX Corporation (TSXV: CVX) (the “Corporation” or the “Company” or “CEMATRIX”) is pleased to announce that its wholly owned subsidiary, CEMATRIX (Canada) Inc. exceeded its goal of a record $15 million in sales in 2015.

Although the final audited yearend results will not be released until March 2016, management is comfortable that it met its forecast of $15 million in sales, as stated in early 2015.  Management also believes that it has exceeded the forecasted EBITDA range of $2 – $2.5 million.

In addition, the company has secured another $1.3 million in contracts, in aggregate, for construction projects in Canada.  Total contracted work for 2016 is now $4.2 million.

FLYHT Receives Additional Design Approval for the AFIRS 228S From Transport Canada

CALGARY, ALBERTA–(Jan. 11, 2016) – FLYHT Aerospace Solutions Ltd. (TSX VENTURE:FLY)(OTCQX:FLYLF) (the “Company” or “FLYHT”) today announced it has received Canadian Technical Standard Order (“CAN-TSO”) Design Approval, CAN-TSO-C159b for the Automated Flight Information Reporting System (“AFIRS”) 228S. The certification, granted by Transport Canada, represents an additional level of airworthiness standards met by AFIRS.

A Technical Standard Order (“TSO”) is a minimum performance standard issued by an airworthiness authority for specified materials, parts, processes, and appliances used on civil aircraft. Issuance of the CAN-TSO by Transport Canada Civil Aviation (“TCCA”), through international agreements, represents recognition of the AFIRS 228S in the world’s major airworthiness jurisdictions, thus simplifying the Supplemental Type Certificate (“STC”) and installation process.

As an improvement to the initial AFIRS 228B, the AFIRS 228S Iridium SATCOM system is currently approved, with STCs on numerous aircraft types, in all major jurisdictions and provides aircraft crew with voice and data services for Air Traffic Control (“ATC”), Aeronautical Operational Control (“AOC”) and Air-to-Air Communication (“AAC”) using Iridium’s global satellite network. The system also provides Aircraft Communications Addressing and Reporting System (“ACARS”) over Iridium messaging capability. This TSO certification confirms that AFIRS 228S meets all product requirements, including DO-262B Minimum Operational Performance Standards for Avionics Supporting Next Generation Satellite Systems (NGSS), for an Iridium SATCOM supporting Future Air Navigation System (“FANS”) -1/A capability. FANS allows for and supports improved data and survelliance of aircraft flying in remote regions and over the oceans.
